By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By accessing or using WhatACRM at whatacrm.cloud (the "Service"), you agree to comply with and be bound by these Terms, our Privacy Policy, and our Cookie Policy.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Service Description
WhatACRM is a cloud-based Customer Relationship Management (CRM) platform that integrates with WhatsApp Web to provide:
- WhatsApp messaging management and conversation history
- Contact and deal management
- Group messaging and campaign management
- Message templates, scheduling, and automation (auto-reply, quick replies)
- AI-powered tools (translation, chatbot, content generation)
- Team collaboration with role-based access (admin/agent)
- Webhooks and third-party integrations
- Anti-ban sending protection with smart delays
3. Accounts & Registration
3.1 Eligibility
You must be at least 16 years of age and capable of entering into a legally binding agreement to use this Service.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that show signs of unauthorized access or security breaches.
3.3 Organization Accounts
When you create an organization, you become the organization admin. You may invite team members (agents) who will be bound by these Terms. The organization admin is responsible for managing users, billing, and compliance within their organization.
4. Subscriptions & Billing
4.1 Plans & Pricing
We offer multiple subscription plans with different feature sets and user limits. Current pricing is displayed on our website and may vary by region. All prices are listed in the applicable currency and are exclusive of taxes unless stated otherwise.
4.2 Payment
- Payments are processed securely through Stripe
- Subscriptions are billed monthly or annually, depending on your chosen plan
- Fees are charged at the beginning of each billing cycle and are non-refundable except as required by law
4.3 Free Plan
We offer a free plan with limited features. Free plans may be subject to additional restrictions and may be modified or discontinued at our discretion.
4.4 Cancellation
You may cancel your subscription at any time. Upon cancellation:
- You retain access to paid features until the end of your current billing period
- Your data is retained for 30 days to allow for reactivation
- After 30 days, your data will be permanently deleted
4.5 Price Changes
We reserve the right to modify pricing. Existing subscribers will be given at least 30 days' notice before any price increase takes effect on their account.
5. Acceptable Use Policy
You agree not to use the Service to:
Prohibited activities:
- Send spam, unsolicited bulk messages, or chain messages
- Harass, threaten, abuse, or harm any individual or group
- Send content that is illegal, defamatory, obscene, or infringes on intellectual property rights
- Impersonate any person or entity, or misrepresent your affiliation
- Distribute malware, viruses, or any harmful software
- Attempt to gain unauthorized access to other users' accounts or our systems
- Scrape, data mine, or use automated tools to extract data from the Service beyond its intended use
- Circumvent or disable any security features or rate limits
- Use the Service for any purpose that violates WhatsApp's Terms of Service
- Resell or redistribute access to the Service without our written consent
We reserve the right to suspend or terminate your account immediately if we determine you have violated this Acceptable Use Policy.
6. WhatsApp Usage & Compliance
Disclaimer: WhatACRM is an independent product. We are not affiliated with, endorsed by, or officially connected to WhatsApp LLC or Meta Platforms, Inc.
6.1 Your Responsibility
By using our Service to manage WhatsApp messaging, you acknowledge and agree that:
- You are solely responsible for complying with WhatsApp's Terms of Service and applicable laws
- You will only contact individuals who have consented to receive messages from you
- You will comply with all applicable anti-spam, data protection, and telecommunications laws in your jurisdiction
- You understand that WhatsApp may enforce their own policies independently, including banning accounts that they determine have violated their terms
6.2 Anti-Ban Protection
Our Service includes anti-ban features (smart delays, warm-up, session breaks) designed to help your account follow natural messaging patterns. However:
- We do not guarantee that your WhatsApp account will not be restricted or banned by WhatsApp
- Ban decisions are made solely by WhatsApp and are outside our control
- We are not responsible for any loss of access to your WhatsApp account
6.3 Message Content
You are solely responsible for the content of messages sent through the Service. We do not review, approve, or endorse the content of your messages.
7. Intellectual Property
7.1 Our Property
The Service, including its design, code, features, documentation, logos, and branding, is owned by WhatACRM and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service.
7.2 Your Content
You retain ownership of all content you upload, send, or create through the Service (messages, contacts, media, templates). By using the Service, you grant us a limited, non-exclusive license to host, store, and process your content solely to provide the Service.
8. Data Ownership
Your data belongs to you. Specifically:
- You own all contacts, messages, campaigns, templates, and other data you create
- You may export your data at any time
- Upon account deletion, we will delete all your data within 30 days
- We will not use your data for purposes other than providing and improving the Service
9. Warranties & Disclaimers
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Any guarantee of uninterrupted, secure, or error-free operation
- Any warranty that the Service will meet your specific requirements
- Any warranty regarding the availability or functionality of WhatsApp's platform
10. Limitation of Liability
To the maximum extent permitted by law, WhatACRM and its officers, directors, employees, and agents shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Any damages arising from your use of or inability to use the Service
- Any actions taken by WhatsApp regarding your account (bans, restrictions, etc.)
- Service interruptions, downtime, or data loss
In any case, our total aggregate liability shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless WhatACRM, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights (including WhatsApp's Terms of Service)
- Content you send or distribute through the Service
12. Termination
12.1 By You
You may stop using the Service and close your account at any time by contacting us or through your account settings.
12.2 By Us
We may suspend or terminate your access to the Service immediately, without prior notice, if:
- You breach any provision of these Terms
- Your use poses a security risk to the Service or other users
- We are required to do so by law
- Your account has been inactive for more than 12 months (free plan)
12.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will remain in effect, including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law.
13. Changes to These Terms
We may revise these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Your continued use after any changes constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which WhatACRM operates. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
